{"id":24830,"date":"2021-09-05T11:52:57","date_gmt":"2021-09-05T15:52:57","guid":{"rendered":"http:\/\/1.6165574"},"modified":"2021-09-05T11:52:57","modified_gmt":"2021-09-05T15:52:57","slug":"kansas-city-southern-board-agrees-to-re-engage-with-cp-rail-after-regulator-rejects-cn-bid","status":"publish","type":"post","link":"https:\/\/www.cbc.ca\/news\/canada\/calgary\/kcs-cp-rail-1.6165574?cmp=rss","title":{"rendered":"Kansas City Southern board agrees to re-engage with CP Rail, after regulator rejects CN bid"},"content":{"rendered":"<div><img decoding=\"async\" src=\"https:\/\/i.cbc.ca\/1.5374193.1616353465!\/fileImage\/httpImage\/image.jpg_gen\/derivatives\/16x9_620\/cp-rail.jpg\" class=\"ff-og-image-inserted\"><\/div>\n<p><span readability=\"20.886267902275\"><\/p>\n<p>Kansas City Southern has agreed to re-engage with Canadian Pacific Railway Ltd. after the U.S. transportation regulator placed a roadblock in the path of the bid from rival Canadian National Railway Co.<\/p>\n<p>The U.S. railway says its board of directors unanimously determined that CP&#8217;s unsolicited proposal worth about US$31 billion including debt could &#8220;reasonably be expected to lead to it becoming a superior proposal&#8221; to CN&#8217;s bid, worth about US$33.6 billion including debt.<\/p>\n<section id=\"inread-wrapper-id-189235423\"><\/section>\n<p>KCS intends to provide CP with non-public information and to engage in discussions and negotiations with the Calgary-based railway.<\/p>\n<p>Kansas City Southern says it remains bound by the terms of the CN merger agreement and has not determined that CP&#8217;s proposal is in fact superior.<\/p>\n<p>CP Rail, which has given a deadline of Sept. 12 for KCS to consider its offer, says it looks forward to re-engaging with KCS.<\/p>\n<p>The U.S. Surface Transportation Board unanimously rejected CN and KCS&#8217;s joint motion for approval for use of a voting trust, something it approved for CP.<\/p>\n<p><\/span><a href=\"https:\/\/www.cbc.ca\/news\/canada\/calgary\/kcs-cp-rail-1.6165574?cmp=rss\" target=\"_blank\" rel=\"noopener\">Source<\/a><\/p>\n","protected":false},"excerpt":{"rendered":"<p>Kansas City Southern has agreed to re-engage with Canadian Pacific Railway Ltd. after the U.S. transportation regulator placed a roadblock in the path of the bid from rival Canadian National Railway Co.
